Old Rules

Cal produced the Southline documentation on the forty-seventh hour, which Nora noted without comment, because a man who waited until the last possible moment to keep his word was still, technically, keeping it. The file he sent her was thin: three memos from a decade-old accounting review, none of them signed, all describing the “true-up” convention in language vague enough to justify almost anything. It didn’t explain the four million dollars. It didn’t explain why the convention had grown so much larger in the last three years than in the seven before it. It bought him time. She suspected that had always been the point.

Desmond delivered the file in person, which told her something before she’d even opened it. “I want to say, for the record, I’ve asked him twice in three years to close that entity out entirely,” he said, hovering near her doorway with the discomfort of a man caught between two people he answered to differently. “He always said it wasn’t the time. I never pushed harder than that. I’ve been asking myself since Monday whether that makes me part of the problem, or just a coward, and I haven’t landed on an answer I like.”

“It makes you a witness who told the truth when someone finally asked,” Nora said. “That’s not nothing, Desmond.”

“It feels like nothing at four in the morning.”

She wrote her response to Cal’s memos that afternoon: three paragraphs, unsparing, noting that a review with no signatures and no supporting ledger detail did not constitute documentation for a company six weeks from a bank calling its loan. She sent it, plainly, in an email. He asked to go over the covenant timeline with her that night instead of arguing — a deflection or an olive branch, she still hadn’t decided which — and by nine that evening she was back in the same conference room, the whole floor dark around them.

The bank’s covenant deadline sat six weeks out on the calendar Cal had pulled up on the wall screen, a hard date circled in red almost exactly the shade of her own pen. Beneath it ran a second timeline: the longshoremen’s contract renewal in the spring, close enough to the covenant date that any restructuring plan had to thread both needles or risk detonating one to save the other.

“If Ruth Calloway’s members think we’re gutting the company to satisfy a bank, we lose the docks before we lose the credit facility,” Cal said, tracing the timeline with two fingers. “She’s fair. She’s also not going to sit quietly through layoffs dressed up as efficiency.”

“Then don’t dress them up. Tell her the truth before the press does.” Nora leaned in beside him to see the screen better, close enough that she caught the clean smell of him — cedar and something like rain — and made herself focus on the timeline instead. “Unions don’t punish companies for bad news. They punish companies for finding out bad news secondhand.”

“Ruth Calloway ran the last contract fight for eleven weeks without missing a session, and she remembers every number anyone’s ever given her that turned out wrong.” Cal said it with something close to respect. “Give her a headcount figure that moves twice, and she walks out and takes the terminal crews with her. Then the deadline stops being the interesting problem.”

“Then give her one number, and make sure it’s the real one before you say it out loud.” Nora pulled up the draft restructuring model on her own tablet. “Right now your plan protects forty-one jobs at the West Coast terminal by cutting thirty at Greywater Sound. If that’s really the trade, fine — but tell her before she reads it in a filing. Anything else is just delay wearing a nicer suit.”

“You really don’t let anyone get away with anything.”

“Not when it’s six weeks and forty-one vessels. No.”

“You say that like it’s simple.”

“It is simple. It’s just not easy.” She reached past him to zoom the covenant date, her sleeve brushing his forearm. Neither of them moved to correct the distance. “The hard part isn’t the honesty. It’s standing in a room and taking whatever they throw back at you once they’ve heard it.”

“I’ve had practice standing in rooms and taking what people throw at me.” He said it lightly, but something under it wasn’t light at all. When she glanced over he was watching her instead of the screen. “You, for instance. Eight years running.”

“I didn’t throw anything at you that wasn’t true.”

“No. You didn’t.” He straightened, put a little space between them that felt, oddly, like a concession. “Everyone else in my life either agrees with me because they’re afraid of me, or manages me because they think I need managing. You’ve never done either. You just tell me the number and let me be wrong about it in front of witnesses.”

“Someone has to.”

“I know. That’s why I called you.” He rubbed a hand over his jaw, and for a second the exhaustion under his eyes wasn’t something he was bothering to hide. “I told the board I wanted the best turnaround consultant in the market. That was true. I left out that I also wanted, very specifically, you. Not a version of you. Not someone with your reputation. You — because you’re the only person who’s ever told me no and meant it, and I’ve spent three years surrounded by people who say yes to me so fast I can’t tell anymore whether an idea is good or just mine.”

The admission landed somewhere she hadn’t braced for. She found she had no clever answer ready, which almost never happened to her, and which unsettled her more than the admission itself.

“That’s a strange thing to want from a woman you humiliated in front of eleven partners.”

“It’s the only thing I’ve wanted from anyone in longer than I’d like to admit.” He hadn’t moved, and neither had she. “I’ve thought about that boardroom more than you’d believe. Not because I felt guilty, though I did, eventually. Because you were the only person in that room who wasn’t performing for anyone. You never have. Not once. Not even now, when performing would probably make this easier on both of us.”

“Performing isn’t a service I offer.”

“I know. It’s the only reason I can stand to be in a room with you.” His voice had dropped, low enough that she had to lean in slightly to catch all of it. “You make it impossible to lie to myself about anything. The numbers. My father. Whatever this is, standing here at nine o’clock, close enough that I can see exactly how hard you’re trying to look unimpressed.”

“I’m not trying to look anything.”

“You’re failing at it beautifully, then.”

She should have stepped back. She catalogued every reason to: the rule, the fee, the four million dollars still unexplained, the eight years she’d spent building a life immune to a man like this one. She catalogued all of it and stayed exactly where she was, close enough to see the tired lines at the corners of his eyes, close enough to notice he’d stopped breathing evenly, and closer, she suspected, than either of them had any professional business standing.

“Cal.”

“I know.” He didn’t move either. “Say the word and I’ll go back to the timeline.”

She didn’t say the word. She stood there in the quiet, the harbor lights strung out along the dark water below them, the red circle on the covenant deadline glowing between two people who had spent eight years building separate lives around the memory of one bad room. She let the silence do something neither of them seemed inclined to interrupt.

The door opened without a knock, which told her, even before she turned, exactly who it was.

“I brought food, because someone has to feed you, and apparently that someone is—“ Dara stopped three steps into the room, takeout bag still swinging from one hand, taking in the two of them standing close enough together that no quick footwork was going to read as coincidental. Her eyebrows climbed slowly, an entire monologue delivered without a single word.

“Dara,” Nora said, faintly appalled at how normal her own voice sounded. “This is Cal Reyes.”

“I gathered.” Dara set the bag down on the conference table with the precision of a woman choosing not to comment on something she fully intended to comment on later. “I can come back.”

“No,” Cal said, already moving toward the wall screen, voice smoothing back into something professional so fast it was almost impressive. “We were just finishing up the covenant timeline.”

“Of course you were.” Dara’s gaze flicked to Nora — no judgment in it, only the patient amusement of a woman tucking away a fact she intended to use later. “I brought enough for two. I’m sure Mr. Reyes has a very nice kitchen somewhere in this building.”

“I do,” Cal said. “I’ll leave you both to it.”

He left without looking back. Nora stood there a moment longer than necessary, watching the door close behind him, aware of Dara watching her watch it.

“So,” Dara said, unpacking the takeout with the deliberate slowness of someone building suspense on purpose. “That’s Cal Reyes.”

“That’s Cal Reyes.”

“You didn’t mention he looks like that.”

“It wasn’t relevant.”

“Nora.” Dara set two containers down and looked at her directly, not unkindly, just clearly. “Six years. I’ve never once walked in on you standing that close to a client’s spreadsheet.”

“We were reviewing the covenant timeline.”

“You were reviewing something. I’m not sure it was on the wall screen.” Dara handed her a fork. “I’m not going to lecture you. You’re twenty-nine, you run your own company, stand wherever you want. I am going to point out that Rule One exists for exactly this scenario. You wrote it. I’ve watched you enforce it on other people without mercy.”

“I know what I wrote.”

“Then you know what I’m not saying out loud.” Dara opened her own container, unbothered. “For what it’s worth — he didn’t look at you like a man deciding whether to fire the consultant who found his four million dollars. He looked at you like he’d forgotten there was anyone else in the building. I’ve seen that look before. It’s rarely about the spreadsheet.”

“It’s always about the spreadsheet, with him. That’s the whole problem.” Nora sat, unwrapping her own fork, more grateful for the food than she wanted to admit. “He asked for me because I’m the only person who tells him no. That’s not romance, Dara. That’s a management strategy with very good bone structure.”

“Sure.” Dara didn’t look convinced, and didn’t pretend to be. “Eat your noodles before they go cold, and tell me about the four million dollars. That part, at least, I understand completely.”

Nora told her, laying out Southline in the same flat terms she’d used on Cal, and watched Dara’s face do the focused thing it always did when a number was interesting. By the time they’d finished eating, the wall screen had gone dark on its own timer, the covenant date no longer glowing red over the empty room. Only the harbor light was left, coming in through the glass.
